Significant developments have occurred in the modern world ranging from technological advancements, startups and businesses, healthcare systems. Regarding technological advancement, Artificial Intelligence has become one of the fastest growing technologies in the modern world. Human life has changed significantly since the Stone Age, when humans relied on basic tools and manual work for survival. The world has totally transformed due to the digital era driven by AI. From communication to education, business and law, technology has played a major transformative role in people's lives.

In the legal sector, various AI tools are used to make the lawyer’s work easier. Corporate lawyers are involved in reviewing documents, making business decisions, negotiating agreements, and researching legal statutes. Such AI-based software is adopted by law firms and companies to save time, effort and cost.

Due to technological advancements, AI has been adopted on a larger scale in legal field, raising the important question of whether AI can replace corporate lawyers in the future. There is no doubt that AI has made legal work faster, easier and more productive, but the role of a corporate lawyer is much vast than that of AI. The role of corporate lawyers includes reviewing documents, decision making for the firm or a company, negotiation skills, researching statutes, and much more, which continues to play a crucial role in the legal field.

Meaning of AI in Corporate Law

AI is a system infused in computers that can perform human intelligence tasks. Several law firms and companies have already started using AI tools to improve capability and output in legal field. In the world of corporate law, AI is used for the following:

1. Due diligence during Merger and Acquisition

2. Risk assessment

3. Legal research

4. Contract drafting and analysis

5. To predict legal outcomes

Role of Corporate Lawyers

Corporate lawyers mainly handle legal matters and business-related legal work for companies. They also help companies make important business decisions where both legal and commercial understanding is required. The main work of a corporate lawyer includes advising a company or firm about the responsibilities and legal rights. The work includes:

• To ensure compliance with laws and regulation

• To protect the interest of shareholders and stakeholders

• To handle disputes and corporate governance

• To advise the company on mergers and acquisitions

The Role of AI in Transforming Corporate Law

1. Legal Research

Previously lawyers had to manually read several judgements and legal materials for research, which consumed a lot of time. However AI tools now help lawyers analyse different types of statutes in very less time. For example- important legal principles are quickly summarized by different AI-based platforms.

2. Due Diligence

The process of due diligence helps boost efficiency and reduce operational cost for law firms and companies. Due Diligence is conducted by a firm or company to recognize risk before completing a transaction, and AI can analyse such corporate documents faster than humans.

3. Contract Drafting and Reviewing

There are a many corporate transactions that a company enters into, involving hundreds of contracts. A corporate lawyer helps a firm or company to draft and review these contracts. There are various clauses in a contract including title, preamble, description of parties, recital clause, etc, and AI software can help a corporate lawyer review these contracts efficiently. AI software can quickly identify problematic clauses, missing provisions and potential legal risks. Therefore, human errors are reduced as AI software quickly reviews contract documents.

4. Compliance Management

Under the Companies Act 2013, companies are required to follow various legal and corporate governance rules and currently many companies use AI technology to manage compliance work. Hence, Compliance Management means ensuring that the company follows all laws, regulations, rules, and internal policies of the company properly. A company has many legal responsibilities like

• Filing documents

• Following labour laws

• Paying taxes

• Following corporate social responsibility

Non- compliance lead to penalties, fines, and even strict legal action, which can harm the company’s reputation. AI tools help monitor compliance requirements and alert companies regarding deadlines and possible violations. It can also send reminders to the company and automatically monitor regulatory changes.

   Pros of using AI in corporate fields

• Cost reduction- AI reduces operational costs for law firms and companies because fewer hours are spent on routine legal work.

• Faster work- Tasks that previously required a lot of working hours can now be completed within seconds. Thus, AI platforms can perform tasks faster than humans.

• Better accuracy- Human errors in a document can be reduced on a large scale with the use of AI platforms.

• Increased productivity- Instead of spending excessive time on repetitive administrative work, corporate lawyers can spend more time on advisory work and focus on the company’s strategic tasks.

Cons of using AI in corporate fields

Despite of its various advantages, use of AI has several limitations that prevent it from completely replacing corporate lawyers.

• Data privacy and confidentiality-

Law firms handle a lot of confidential data regarding client information, and AI tools raise concerns regarding the privacy of clients. As the use of AI has increased in many companies and law firms, compliance with the Digital Personal Data Protection Act 2023 has played a vital role in handling client’s personal information.

• Lacks human judgement-

Corporate law involves numerous business transactions and complex negotiations. Human judgement is absent here because AI may only analyse data but not completely understand corporate world realities or ethical considerations.

• Possibility of incorrect information-

AI tools can sometimes generate inaccurate and outdated data. Relying entirely on AI can sometimes lead to incorrect legal information, which may create serious legal risks. In such cases, human supervision can reduce inaccurate legal data.

• Inability to negotiate-

Negotiation is an important skill for corporate lawyers. AI cannot negotiate business deals, understand client emotions, or build professional relationships in the same way as humans.

Recent developments -

AI is changing the legal field and helping lawyers in many ways, but it cannot completely replace them. AI can perform tasks such as legal research, checking documents, analysing contracts, and managing case data quickly and accurately. Indian courts have also accepted the use of technology in legal systems. In Jupitice Justice Technologies Pvt. Ltd. v. Union of India, the importance of online dispute resolution and legal technology was discussed, showing how digital tools are becoming  part of legal work.

During the COVID-19 pandemic, courts in India began virtual hearings and online systems, which made legal work easier and faster. However, the legal profession is not only about paperwork and research. Lawyers also need skills like arguing cases, understanding emotions, making ethical decisions, and handling complicated situations, which AI cannot fully do. Many countries are also discussing the use of AI in legal services, but they believe that human supervision remains necessary. Therefore, AI should be seen as a tool that helps lawyers and makes their work more efficient, not as something that will replace them completely. In the future, lawyers and AI will likely work together, with AI assisting with technical work and lawyers focusing on judgment, strategy, and client handling.  As Advocates in India are bound by professional ethics under the Bar Council of India Rules, which require independent judgment, confidentiality, and accountability — qualities that AI cannot fully replicate.

Artificial Intelligence is changing the corporate legal field by making work quicker, easier, and less expensive. Today, AI helps corporate lawyers in tasks such as legal research, checking contracts, managing compliance, and handling important documents.

However, corporate law is not only about technical work. Lawyers also need human skills such as decision-making, negotiation, understanding clients, ethics, and providing proper legal advice. These are aspects that AI cannot fully replace.

AI can help reduce repetitive and time-consuming work, but it cannot take the place of corporate lawyers completely. It should be viewed as a helpful tool that supports lawyers in their work. In the future, lawyers and AI will likely work together, where AI handles routine tasks and lawyers focus on important decisions and legal expertise.
